版本 1.6 · 生效时间 2026-10-14 18:35:16

版本:1.6  Revision date: October 9, 2026 Date this version is displayed: October 9, 2026 This Agreement is entered into by the operator of ZipGet, Yunshui Guanjia (Beijing) Consulting Co., Ltd. (hereinafter the “Platform”), and the natural person, individually owned business, enterprise, or other business entity lawfully permitted to join that confirms this Agreement through the onboarding process (hereinafter the “Merchant”). ZipGet is the platform brand, and its website domain is  zipget.cn ; the platform brand name does not replace the name of the contracting business entity.  Please pay particular attention to the provisions concerning identity and copyright responsibilities, fees and settlement, security deposits, refunds and restrictions on funds, permission to use content, store exit, and dispute resolution. You may request explanations through the channels specified in this Agreement. The Platform shall not substitute preselected checkboxes, compulsory authorizations, or similar means for active confirmation required by law.

I. Scope of Services and Confirmation of the Agreement

  1. For content uploaded by the Merchant, the Platform provides information storage, display of store and product information, management of the publication and listing of digital assets, and transaction-related technical services such as order and licensing records, delivery by download, after-sales assistance, and settlement management. The Merchant is responsible for the truthfulness and legality of the assets and licensing information. The specific scope of services enabled and business permissions are subject to the actual pages, the results of business entity verification, and the permissions actually enabled.
  2. This Agreement does not indicate that an app, online artificial intelligence generation, dedicated customization, custody of funds, or automatic third-party split payments that have not yet been launched are already available. When adding services in the future, the Platform must first explain their content, the entity providing them, the fees, and the corresponding conditions; where separate confirmation is required, those services will apply after confirmation has been obtained.
  3. The Merchant must provide valid confirmation after being able to read and save this Agreement and the related rules in full. The confirmation records and onboarding materials are used together to identify the contracting entity; submitting an application does not mean that it has been approved and does not automatically confer permission to sell products.
  4. The letters of undertaking and supplementary agreements corresponding to the onboarding type, together with the product, licensing, after-sales, and settlement rules that have been publicized and apply in accordance with law, operate in conjunction with this Agreement. Valid terms negotiated separately take precedence over standard terms on the same matter; no agreement may exclude mandatory provisions of law.

II. Eligibility and Verification of Materials

  1. The Merchant must submit identity information, a business address, contact details, a business license, necessary permits, and payment receipt information that are true, accurate, valid, and consistent with the actual business entity, and must be entitled to use the materials submitted. The Platform performs its verification, registration, periodic updating, and necessary information reporting obligations in accordance with law and does not exclude these obligations on the grounds that it 'only checks formatting.'
  2. A natural person applying to join as a merchant and complete real-name verification must be at least eighteen years old and have the corresponding capacity for civil conduct; a guardian's consent does not replace the Platform's age eligibility requirement. Joining as an individual merchant does not automatically exempt the person from business entity registration, administrative licensing, tax registration, or tax payment obligations. Where registration or a permit is required by law, the relevant procedures must be completed first; a person who previously qualified for exemption from registration but no longer does must promptly complete the legally required procedures and apply to update their onboarding type.
  3. Onboarding for an individual industrial and commercial household must be handled by its registered operator or a lawfully authorized person; onboarding for an enterprise must be handled by its legal representative or an authorized agent. The Platform may verify the scope of authorization but must not automatically treat the person handling the procedures as a personal guarantor for all business debts.
  4. If onboarding information changes, licenses or certificates expire, or errors arise, the Merchant must promptly apply for correction or updating. Material changes involving replacement of the business entity, control of the account, or the payment receipt account must follow the necessary verification procedures; lawful corrections must not be refused on the grounds that information 'cannot be changed after approval.'
  5. The processing of facial information, identity documents, bank card information, and similar information must meet necessity requirements and comply with the Privacy Policy. Where separate notice, consent, or other statutory conditions are required, they must be addressed through the corresponding process; this Agreement does not replace those conditions. Complete identity documents, bank account details, or verification materials must not be disclosed on public product pages.

III. Account and Store Operations

  1. The Merchant is responsible for properly managing its account and authorized personnel and must not impersonate another person, rent out or sell accounts, or evade review or liability by borrowing an account. Enterprises and individual industrial and commercial households may lawfully authorize personnel to operate their accounts; permissions must be promptly revoked when the authorization ends.
  2. If account theft, unauthorized operations, or a data leak is discovered, measures to limit losses must be taken immediately and the Platform must be contacted. Liability must be determined in accordance with law in light of fault, actual control, and the evidence; account records alone cannot automatically establish that the Merchant bears all losses.
  3. The Merchant must disclose, in accordance with law, information concerning its business entity, permits, and other matters that must be made public, and must truthfully describe product content, deliverables, compatibility requirements, versions, licenses, and prices. It must not fabricate sales figures, reviews, qualifications, or earnings, and must not publish unlawful content, malicious code, false advertising, or misleading information.
  4. Product information, files, or personal information obtained through the Platform must not be used to commit fraud, evade payment and after-sales obligations for orders already formed, conduct unauthorized marketing, or disclose private information. Business entity and after-sales information that must be publicized by law does not automatically constitute a violation merely because it includes contact details. The Platform will not use this provision to unreasonably restrict the Merchant's lawful business activities through other channels.

IV. Rights in Assets and Product Descriptions

  1. The Merchant must hold the corresponding rights to upload, display, and deliver assets and to grant buyers permission to use them. Products may be original works created by the Merchant or may contain content for which sufficient permission has been obtained; merely obtaining a right of personal use, an ordinary purchase license, or reference materials does not confer the rights to reproduce and sell, adapt, redistribute, or grant licenses to buyers.
  2. The Merchant must verify the scope of rights and restrictions applicable to images, fonts, music, videos, personal likenesses, trademarks, data, and other components, and obtain the necessary authorizations. Content of unknown origin, content prohibited from resale, or content whose rights are insufficient to support the license being sold must not be offered as a product.
  3. Where a product involves joint creation, works created in the course of employment, commissioned creation, or external contributions, ownership and the chain of authorization must be clear. The Merchant must properly retain records of the creative process, original files, licenses, and other verifiable materials; a registration certificate or a single declaration is not irrefutable proof of the status of rights.
  4. The title, preview images, product details, and actual files must be consistent. Information affecting purchase decisions, such as whether editable source files are included, required software or fonts, and restrictions on third-party assets, must be clearly explained; preview effects must not be used to conceal content that is not delivered.
  5. Product licenses are governed by the license types and restrictions clearly displayed at the time of purchase and by the order records. The Merchant must not grant licenses exceeding the scope of its own rights and must not unilaterally reduce the buyer's rights of use acquired under law or contract after a transaction has been concluded.

V. Content Generated or Synthesized Using Artificial Intelligence

  1. If the Merchant uses artificial intelligence tools to generate or synthesize product content, it must verify the conditions governing use of the tools, input materials, and output content, proactively disclose this use, and label it truthfully using the labeling functions actually provided by the Platform. Any additional notices required in the product description or files must also be provided.
  2. Labels identifying generated or synthesized content that must be retained by law must not be maliciously deleted, altered, forged, or concealed. Generated content must not be falsely represented as having been created by a particular real person, depicting real events, or having received third-party endorsement.
  3. Labeling content as AI-generated does not confirm that the content necessarily qualifies for copyright protection, can never infringe rights, or satisfies all conditions for commercial use. The Merchant and the Platform each bear the responsibilities corresponding to their own actions in accordance with law, and neither may use such labeling to exempt itself from its statutory obligations.
  4. The Merchant's use of third-party artificial intelligence tools does not mean that the Platform provides artificial intelligence generation services. Nor does this Agreement authorize the Platform to use the Merchant's unpublished source files to train general-purpose models.

VI. Publication Management, Risk Response, and Necessary Use of Content

  1. The Platform verifies the Merchant's identity and necessary business qualifications in accordance with law, checks the completeness, technical format, and business-rule compliance of publication materials under its existing procedures, and handles specific complaints and indications of risk. The Platform does not promise to make a substantive determination of the originality, ownership, or truthfulness of the content of every Merchant work; approval for display or listing does not mean that the Platform guarantees the assets or licensing information. Where the Platform knows or ought to know of infringement, it will promptly take the necessary measures in accordance with law. Verification of the Merchant's business entity, publication management, and handling of infringement notices are each carried out according to their actual purposes.
  2. To enable product display, transaction delivery, license management, security protection, and after-sales service, the Merchant licenses the Platform, to the extent necessary, to store, reproduce, and transmit the assets, generate thumbnails and preview images, carry out necessary format processing, and add watermarks identifying the Platform. This license is non-exclusive, does not transfer rights in the works, and must not extend beyond the stated service purposes.
  3. While a product is publicly listed, the Platform may use its public name, store identifiers, and preview content on this website to introduce the product and organize category and themed displays, while reasonably retaining attribution to the author or Merchant. The Platform must not distort or alter the work or resell the Merchant's source files as separate products of its own.
  4. Use of assets for off-site commercial promotion unrelated to product display, independent use by third parties, or other purposes beyond those stated above requires the scope, term, and conditions to be separately specified and the necessary authorization to be obtained. The Merchant's refusal to grant authorization for non-essential promotion does not affect its use of basic merchant onboarding services in accordance with law and contract.
  5. After a product is delisted or a store exits the Platform, the Platform must cease new public promotional use. Processing necessary to fulfill orders already formed, safeguard existing licenses, maintain security backups, handle disputes, and meet statutory retention requirements may continue for the necessary period and within the necessary scope. This must not be used as a basis for continuing to sell delisted products to new buyers.

VII. Pricing, Promotional Activities, and Service Fees

  1. The Merchant independently sets its prices in accordance with law. Participation in member discounts, promotions, or other activities affecting the Merchant's income must be based on the scope of application, discounts, and cost allocation clearly displayed by the Platform in advance and confirmed by the Merchant; participation is not compulsory under this Agreement.
  2. The fee items, calculation bases, fixed fees, rates, caps, discounts, and adjustments following refunds for transaction service fees are governed by valid rules clearly disclosed to and confirmed by the Merchant before signing the agreement or participating in transactions. Each order is calculated according to its corresponding order records, fee breakdown, and applicable version of the rules. This Agreement does not establish a separate fee rate different from the rules in the administration system.
  3. Parameters in the administration system that have not been clearly disclosed to the Merchant and made applicable in accordance with law must not be used to retroactively increase fees for existing orders merely because they can technically be changed. When introducing or changing fee items, rules, or standards in the future, the Platform must solicit Merchants' opinions in a prominent position on the homepage in accordance with law, for no less than seven days, and must separately complete pre-effective-date public notice, necessary transition arrangements, and other procedures for rule changes. Fees must not be charged before clear disclosure and any necessary confirmation have been completed.
  4. The Platform must provide verifiable details of transactions, refunds, service fees, and settlements. If the Merchant finds a discrepancy, it may raise an objection and provide order information and other relevant information; the Platform must explain the basis of the calculation and correct errors in accordance with law, and must not directly deprive the Merchant of its right to conduct normal business merely because it raises an objection.
  5. Membership services sold by the Platform itself are handled separately from settlement for the Merchant's asset sales; unless otherwise expressly agreed, they do not automatically entitle the Merchant to a share of membership fees. Buyers' free benefits and discount benefits are each implemented according to the membership rules already promised and the scope of participating products; this Agreement does not alter membership benefits.

VIII. Settlement, Withdrawals, and Taxation

  1. Merchant settlement currently uses the Platform's internal order ledger calculations, manual review, and transfers after account verification; this does not mean that automatic third-party split payments or custody of funds have been enabled. Payment and receipt of funds are based on actual processing records from the relevant bank or payment channel; ledger status does not replace proof of actual receipt of funds.
  2. Amounts pending settlement, available for settlement, and available for withdrawal must be distinguished according to order performance, the applicable settlement cycle, refunds, disputes, and risk measures lawfully taken. Settlement cycles, application conditions, any withdrawal handling fees that may be charged, and processing time limits must be clearly displayed before the Merchant confirms the relevant services; this Agreement does not separately set any amount or date.
  3. The Merchant must use a verified payment receipt account consistent with its business entity, onboarding type, and lawful authorization. Changes to the account require renewed verification; where eligibility to receive payment cannot be verified, the relevant transfer may be deferred and instructions for remedying the deficiency must be provided, but this must not be used as a basis for permanently retaining undisputed funds.
  4. Where refunds, suspected infringement, fraud, or requests from competent authorities are involved, the Platform may defer settlement of the relevant funds within a lawful and necessary scope. It must explain the orders and amounts concerned, the reasons, and the appeal channels, and conduct periodic reviews; funds unrelated to the risk must not be restricted together without reason. The measures must be promptly lifted once the risk has been eliminated.
  5. The Merchant must handle tax matters relating to its own business income in accordance with law and provide invoices or lawful supporting documents according to the actual transaction relationships; the Platform must issue the corresponding supporting documents for its own services in accordance with law. The contract cannot exempt either party from any legally required obligations to withhold and remit taxes, provide assistance, or report information.
  6. The Platform performs the applicable statutory obligations to report tax-related information, such as business operators' identities and income; the Merchant must cooperate by providing necessary and truthful information. Where reported data are incorrect, verification and correction may be requested in accordance with law; neither concealment nor falsification of data may be requested to evade statutory obligations.

Invoice Issuance Obligations and Handling Standards

  1. For assets sold by a Merchant, the Merchant that actually makes the sale must issue invoices to the purchaser in accordance with law. For the Platform's own products and services, such as memberships, the corresponding seller or service provider must issue invoices in accordance with law. For transaction technology service fees charged by the Platform, the Platform must issue invoices to the Merchant based on the services actually provided and the fees actually charged. The Platform's collection of payments on behalf of others, order records, and license certificates do not in themselves change the entity responsible for issuing invoices, nor do they replace invoices required by law. Being an individual Merchant, being exempt from registration, or enjoying tax exemptions does not in itself remove any statutory obligation to issue invoices; eligible Merchants may apply for invoices to be issued on their behalf in accordance with law.
  2. The Merchant must issue invoices promptly in accordance with law and must not treat the purchaser's failure to click an application button on the site as removing a statutory obligation that has already arisen. After receiving the necessary invoicing information that is truthful, complete, and meets the requirements, the Merchant must, within 7 working days, issue and deliver the invoice; where the law or a valid commitment made at the time of purchase requires earlier performance, that requirement or commitment applies. If information is missing, the Merchant must, within 2 working days, provide a single explanation of the necessary additional information that can reasonably be identified, and must not delay the process by repeatedly requesting unrelated materials. Objective obstacles, such as tax system failures, must be explained promptly, with necessary supporting evidence and an estimated completion time; completion must not be postponed indefinitely. These time limits are handling standards agreed by the Platform and do not change the statutory time at which invoices must be issued.
  3. No minimum amount for issuing an invoice may be set, such as "invoices are issued only for purchases of RMB 100 or more." No additional invoice fees or tax surcharges may be charged, and discounts must not be offered in exchange for not issuing an invoice. The invoicing entity, items, and amount must correspond to the actual transaction and tax rules. For ordinary orders, the actual transaction consideration, discounts, refunds, and records of invoices already issued must be checked; subsidies, combined transactions, and similar circumstances must be handled according to the actual business activity and applicable tax rules. The purchaser's transaction invoice must not be understated by using the net withdrawal amount after deducting the Platform's commissions or service fees. In the event of a refund or correction, a red-letter invoice, correction, or reissuance must be handled in accordance with law; duplicate or false invoices must not be issued.
  4. The Merchant must retain records of invoice issuance, delivery, and correction, and upload invoices or submit necessary supporting documents through the functions actually provided by the Platform. The Platform checks the invoice details, orders, and necessary materials. Uploading a file or displaying "Pending verification" does not mean that invoice verification has been completed. Where inconsistencies arise, the actual cause must be checked and corrections made; system verification does not replace the Merchant's responsibility to issue truthful invoices in accordance with law.
  5. Purchasers may submit applications, follow-up requests, and complaints through the invoicing or after-sales functions actually available for their orders, or through customer service. An unavailable function, a closed order, or the expiry of the period for taking action on the page does not in itself extinguish the right to request an invoice under the law. The Platform must assist in handling the matter according to the actual transaction relationship and must not shift the problem back to the purchaser without reason.
  6. The Platform reports necessary tax-related information, including business operators' identities and income, in accordance with law. The Merchant must provide truthful information and cooperate in verification and correction. Reportable income is not simply the net withdrawal amount after deducting commissions; amounts not withdrawn or not invoiced are not automatically exempt from reporting. Each party must perform the filing, withholding and remittance, handling-on-behalf-of-others, or assistance obligations applicable to its actual business activities in accordance with law. The Platform's internal handling does not replace lawful action by the tax authorities and does not exempt the Platform from its own statutory obligations.

IX. Security Deposits and Reasonable Compensation

  1. The security deposit function is enabled, with an initial amount of RMB 0. When the store's cumulative actual proceeds received by the Merchant reach RMB 2,000, RMB 5,000, and RMB 20,000, the total security deposit that must be maintained is RMB 500, RMB 2,000, and RMB 5,000, respectively. Cumulative actual proceeds received by the Merchant means the Merchant's actual proceeds after order discounts, promotional reductions, and Platform service fees; this figure is used only to determine the security deposit tier and is not the basis for invoicing or statutory tax-related reporting. The tiers are not cumulative: only the difference between the required total and the available balance must be topped up, and the maximum total is RMB 5,000. Verification of specific records, use, deductions, and return of the deposit are governed by the Security Deposit Payment Rules; there is no automatic forfeiture or fixed penalty.
  2. The security deposit is used for performance security that is expressly agreed and lawful, and must not be converted in substance into an unsupported service fee. Any deduction must have a factual basis and a basis in law or a valid agreement. The calculation method, the matter concerned, and the evidence must be explained, and the Merchant's rights to make representations and appeal must be protected.
  3. For disputed liability, deferring handling within the necessary scope does not mean that compensation has already been determined. Actual compensation or offsets must be based on lawful grounds, such as confirmation by both parties, a legally effective resolution, or an enforceable and valid agreement. Compensation must not be paid twice for the same matter, nor may all responsibility that should be borne by the Platform be shifted to the Merchant.
  4. After a lawful deduction, the basis, remaining balance, and shortfall must be stated, and the Merchant must be given 7 calendar days to replenish the deposit from the date the replenishment notice is validly delivered. When a Merchant exits, the current 30-day public notice period for termination of business also serves as the period for necessary settlement checks. Once that period expires, if the conditions are met and the payment receipt information is complete, the Platform must review and initiate the refund of the refundable balance within 5 working days, without adding a further 30-day waiting period. Where there is no lawful deduction, the actual balance must be returned in full without interest; where matters remain unresolved, only a necessary amount supported by a valid basis may be retained. An indefinite possibility of complaints must not be used to prevent the return of the deposit.

X. Product Delivery, After-Sales Service, and Complaints

  1. The Merchant must provide authentic, usable files and licenses that match the description and the order terms, and cooperate in resolving issues such as damaged files, missing delivery, material discrepancies from the description, incorrect licenses, or defects in rights.
  2. An after-sales request, support ticket, or record of the Platform accepting a case does not in itself mean that a refund has been approved or that funds have been returned. The handling method must be determined in light of applicable law, product delivery and licensing circumstances, the terms agreed at the time of purchase, and the evidence. An actual refund must be based on the actual payment processing result.
  3. Digital products are not categorically non-refundable in every circumstance. Where a statutory exception to no-reason returns applies, the corresponding notification and confirmation requirements must be met. Remedies for quality issues, infringement, and other matters provided by law are not excluded by labeling a product as "digital."
  4. The time limit for self-service applications set on Platform pages does not in itself extinguish statutory rights. Matters that still require handling under the law after the function's time limit has expired may be submitted through customer service or a support ticket. The Merchant must not impose unfavorable treatment because a consumer makes a complaint, lawfully asserts their rights, or refuses private handling outside the Platform.

XI. Intellectual Property Notices and Liability

  1. The Platform handles rights notices, necessary measures, forwarding, and Merchant statements in accordance with the Infringement Complaint Guidelines and applicable law. The Merchant must truthfully submit materials such as the chain of authorization and the creation process, and must not fabricate evidence or submit malicious counter-notices.
  2. The Platform must consider the contents of a notice, preliminary evidence, and risks, and promptly take measures appropriate to the circumstances. It must not allow obvious risks to persist on the ground that no final judgment has been issued, nor may it treat the mere receipt of a complaint as a final determination that the Merchant has infringed rights.
  3. After the Merchant submits a statement of non-infringement, the matter must be handled in accordance with the forwarding, waiting, and restoration rules under applicable law. Where there is new valid evidence, notice of litigation or a complaint, or another circumstance in which measures must be maintained under the law, the Platform must explain the corresponding basis.
  4. Each party's liability is determined according to the status of the rights, its actual conduct, fault, and applicable law. For content uploaded by the Merchant, where the conditions for limitations of liability under laws concerning the protection of the right of communication through information networks and other applicable laws are met, the Platform may rely on the corresponding limitations of liability in accordance with law. Their specific application depends on factors such as the nature of the services, actual conduct, and profits obtained. The provisions of this Agreement concerning transaction service fees, settlement, and after-sales service continue to apply. The Merchant is liable only to the extent required by law or a valid agreement for losses causally connected to its breach of contract or infringement. Reasonable costs of enforcing rights must be supported by a basis, and the Merchant does not automatically bear the full amount claimed.

XII. Personal Information and Transaction Data

  1. The Merchant may use lawfully obtained buyer information only to the extent necessary to perform orders, provide after-sales service, or fulfill statutory obligations. It must not sell or disclose that information, privately retain unrelated copies, or use it for marketing without permission. The Merchant must restrict personnel access, take security measures, and cooperate in handling incidents such as data breaches.
  2. The Merchant must not request sensitive materials unrelated to digital asset transactions, such as identity documents, facial data, or student lists. Where there is a lawful and genuine necessity, the purpose, scope, and protective measures must first be explained and the statutory conditions met. A general authorization for performance of obligations must not be used to permit unlimited collection.
  3. The Platform retains necessary product, transaction, confirmation, and handling records in accordance with law. Once the retention period expires and there is no other lawful basis for retention, the records are handled in accordance with the Privacy Policy. A store's exit does not mean that all transaction data required by law to be retained must be deleted immediately, nor does it permit the Platform to retain unrelated data indefinitely.

XIII. Enforcement and Appeals

  1. For unlawful conduct, infringement, fraud, or breaches of effective rules, the Platform may take necessary measures according to the nature, evidence, impact, and recurrence of the conduct, including requests for correction, warnings, restrictions on relevant listings, removal of products, suspension of relevant services, or termination of store services.
  2. The Platform shall notify the Merchant of the facts, reasons, basis, scope of impact, and appeal procedure for its action. Where an urgent risk requires action first, supplementary notice shall be provided promptly insofar as this does not violate the law or obstruct an investigation. A minor error does not automatically justify permanently banning an account or confiscating all security deposits or earnings.
  3. Merchants may submit appeals, explanations, and supplementary materials through a support ticket or to 3521773536@qq.com. The Platform shall respond regarding acceptance within 2 working days and, in principle, provide its response within 7 working days after receiving sufficient materials for verification. If a complex matter requires an extension, the reasons and expected completion time shall be explained within the original period; in principle, the period shall not exceed 15 working days. The Platform shall not repeatedly request irrelevant materials to restart the period or automatically reject a reasonable request because an internal appeal deadline has passed. If a matter is handled solely by automated tools and the Merchant requests a human determination, a human review shall be arranged. Errors shall be corrected promptly. An appeal does not automatically suspend urgent measures that remain necessary, and the Platform shall continuously review their necessity. Internal review does not limit the right to complain to the relevant authorities, seek mediation, or initiate legal proceedings in accordance with the law.
  4. The Platform has no authority to freeze a Merchant's bank account on its own. Freezes, deductions, or transfers required by the relevant authorities in accordance with the law shall be carried out by the authorized entities; the Platform shall cooperate only within the scope of its authority.

Verification, Correction, and Restoration for Invoice Irregularities

  1. After receiving a complaint or discovering an irregularity, the Platform shall check the order, payments and refunds, applications and delivery, invoices, and communication records, and hear explanations from both parties. A unilateral complaint or an overdue system reminder does not by itself establish a breach by the Merchant. Whether required information remains incomplete, an invoice has already been lawfully issued, or a verifiable objective obstacle exists shall be assessed on the actual facts. Administrative determinations of tax violations shall be made by the competent authorities in accordance with the law.
  2. If verification confirms that the Merchant has failed, without a justified reason, to issue an invoice lawfully within the applicable period, the Platform shall send a correction notice specifying the order, facts, basis, and requirements, and allow 3 working days to issue or correct the invoice or provide a verifiable explanation. This grace period does not waive statutory obligations that have already arisen. Repeated reminders concerning the same unresolved matter shall not cause it to be counted multiple times.
  3. If the Merchant still refuses to make corrections without a justified reason after effective delivery of a correction notice, or the same type of problem recurs in different matters within 90 calendar days and remains uncorrected after the current notice with continuing effects, the Platform may, depending on the circumstances, restrict new sales of relevant products or new listings for no more than 7 calendar days per restriction. New adverse measures shall be implemented only after the legally required procedures for the applicable rules have been completed, and conduct predating their effective date shall not be counted retrospectively. The Platform shall notify the Merchant of the rule version, facts and reasons, specific permissions affected, start and end times, restoration conditions, and appeal channels, and choose necessary measures with a smaller impact. A matter for which the invoice has been issued and the risk eliminated shall not be restricted again solely because of historical occurrences.
  4. During a restriction, the necessary channels for fulfilling existing orders, invoicing, after-sales service, account inquiries, and appeals shall remain available. After correction is completed or sufficient grounds exist to rule out a breach, the Platform shall verify this within 2 working days and remove restrictions that are no longer necessary. Restrictions shall be lifted promptly on expiry if no other lawful basis exists. A restriction shall not be renewed automatically merely because the same matter remains uncorrected. Further action requires a new verification and an explanation of its specific basis, scope, start and end times, and appeal channels. Where an explicit and continuing refusal to perform seriously impedes transactions, termination of services shall be separately assessed in accordance with the law and effective agreements, with proper handling of unresolved matters.
  5. A failure to issue an invoice on time alone does not automatically result in an order refund, confiscation of a security deposit or sales proceeds, cancellation of an existing license, or freezing of all settlement funds. Where statutory conditions or effective agreements concerning termination, refunds, or compensation for losses are satisfied, those matters shall be handled separately in accordance with the law. This revision does not introduce fixed fines, automatic deduction percentages, or new security deposit tiers.

XIV. Suspension of Business and Exit

  1. Merchants may lawfully apply to suspend operations or close their stores and publish a notice of business termination as required. The Platform shall not impose unreasonable barriers to exit.
  2. Before exiting, the Merchant shall properly handle completed orders, after-sales matters, fees, unsettled funds, and disputes, and protect the lawful licenses already obtained by buyers and the documentation that must be provided by law. Removing a product from sale does not automatically revoke licenses under past orders.
  3. Necessary contact and handling permissions may be retained for unresolved matters. This does not mean that the Platform may prevent exit indefinitely or withhold all funds. Settlement, security deposits, and retention of information shall each be handled in accordance with this Agreement and applicable law.

XV. Changes to Rules and Limits of Liability

  1. After this version is published, when the Platform creates new rules or modifies rules applicable to an unspecified group of Merchants, it shall publicly solicit comments in accordance with the law and reasonably address feedback. Notice shall generally be published at least seven days before implementation. Where the statutory circumstances apply, such as a very large number of affected users, extensive changes, or significant rights and interests of the parties, notice shall be given at least fifteen days in advance, with a reasonable transition period appropriate to the impact. Specific versions and effective-date information shall be recorded on the public agreement page.
  2. Terms concerning significant interests shall be prominently brought to attention and explained as required. Preselected checkboxes or a general statement of continued use shall not replace consent required by law. If a Merchant does not accept a change and requests to exit, the Platform shall properly handle existing matters and refundable fees in accordance with the applicable rules and original agreement, without imposing unreasonable barriers.
  3. The Platform shall retain historical rules and make them available for consultation in accordance with applicable requirements. In principle, new rules shall not retrospectively reduce lawful rights and interests under existing orders.
  4. A party that causes loss through a breach shall bear the corresponding liability in accordance with the law. A party that increases a loss through its own conduct shall bear its corresponding share as required by law. In cases of force majeure, timely notice, necessary evidence, and measures to mitigate losses shall be provided as required by law; an ordinary system failure shall not automatically be treated as grounds for exemption. No provision excludes liability that cannot lawfully be excluded.

XVI. Contact, Governing Law, and Dispute Resolution

  1. The Platform may send notices concerning onboarding, transactions, security, and disputes through verified on-site notifications, support tickets, and valid contact details provided by the Merchant. Merchants shall keep their information up to date. The effect of a notice shall be determined according to its specific content, actual delivery, and applicable law, rather than automatically treating every notice as fully received merely because it was sent.
  2. This Agreement is governed by the laws currently in force in mainland China, People's Republic of China. Disputes may first be resolved through negotiation; the parties may also seek mediation, file complaints or reports, or bring proceedings before a competent people's court in accordance with the law. Merchants shall not be compelled to accept arbitration unless it has been agreed in a separate, valid agreement.
  3. The invalidity of a provision does not affect other provisions that can be performed independently. Standard terms shall be interpreted in accordance with the law; the Platform does not reserve a unilateral right of final interpretation.
