Digital asset purchase and license agreement

Yunshui Guanjia (Beijing) Consulting Co., Ltd.; the seller and licensor of each product are identified by the information expressly stated in the product and order. For products sold directly by the Platform, the relevant operating entity performs the seller's obligations; for products sold by onboarded merchants, the merchant performs the obligations relating to sale, licensing, delivery, and after-sales service, while the Platform performs its statutory platform responsibilities and its own commitments. Before placing an order, please pay particular attention to the license tier, eligible licensee, scope and term of use, file and software requirements, price, download conditions, after-sales service, and notices concerning no-reason returns. Once you actively confirm this Agreement, the product description clearly displayed at purchase, the selected license, and the order terms jointly form the basis of the transaction. You may contact customer service for an explanation before confirming.

Article 1 Product Information and Orders

1. The specific content of a digital asset, the number and formats of its files, its editability, software and version requirements, font or plugin dependencies, and included and excluded attachments are governed by the truthful product description and commitments made at purchase. Preview images illustrate the product; display images, fonts, or other elements not delivered with it must be clearly identified so that purchasers are not misled into believing they are included. 2. Please select a license based on your actual intended use. The Platform offers Personal Non-commercial, Commercial—1 Year, and Commercial—Perpetual tiers; not every product offers every tier. The tier, price, and term you purchase must be clear when you place the order and recorded in the order. 3. Where product information meets the legal requirements for an offer, a contract is formed by law when you select the product or service and successfully submit the order, unless otherwise provided by law or lawfully agreed by both parties. If delivery or license activation requires payment, performance follows the disclosed conditions; standard terms stating that “payment has been received but no contract has been formed” must not be used to evade liability. 4. Please pay using the payment methods displayed in the order. The order must clearly state the amount due and applicable discounts, and fees must not be added without authorization after your confirmation. Obvious price or content errors must be promptly explained and resolved through lawful consultation; an established contract is not automatically cancelled merely because the Platform unilaterally asserts that an error occurred. 5. Membership discounts apply only to designated participating products. Free-use allowances, discount-use allowances, and their respective scopes are governed by the membership plan, participating-product rules, and related records clearly displayed and confirmed by you at purchase. Membership does not replace the selection of a product and license tier. 6. Product descriptions, individually negotiated terms, and express promotional commitments form the basis for performance in accordance with the law. Neither the Platform nor a merchant may retrospectively reduce existing order benefits by changing prices, editing product pages, renaming products, or delisting them after purchase.

Article 2 General Nature of the License

1. Purchasing an asset gives you a license to use it within the selected scope, rather than ownership of its copyright, trademark rights, or any other rights not expressly granted. Unless otherwise expressly and validly agreed at purchase, the license is non-exclusive. The merchant must hold sufficient rights to grant the license it sells to you; a statement that “uploaders are solely responsible” cannot replace its rights warranties and after-sales obligations. 2. The licensee is determined by the order and the information lawfully confirmed at purchase. To obtain a license in an organization's name, you must have the corresponding authorization and provide truthful information; an individual purchase cannot automatically extend to any affiliated company or third party without agreement. If licensee information genuinely needs correction or the scope needs expansion, contact us for verification first; unilateral modification of a certificate cannot change the original transaction. 3. Licensed use must still comply with the specific product description, applicable law, and licenses for third-party components lawfully included in the delivery. Unpurchased optional rights and third-party fonts or assets not expressly included are not automatically licensed merely because a file can be opened or copied. 4. For public-domain content and portions lawfully obtained under open licenses, the relevant rights are determined by law or the valid open license. This Agreement does not appropriate rights beyond the Platform's control or restrict rights you independently obtain from lawful sources; rights legally held by the Platform or merchant in their independently created portions remain protected.

Article 3 Personal Non-commercial License

1. A Personal Non-commercial license permits the licensed individual to undertake personal study, practice, appreciation, and other non-commercial uses within the agreed scope. Any specific restrictions on public display, copy quantities, use contexts, or the license term must be clearly explained before purchase and confirmed in the order; they cannot be arbitrarily added after purchase. 2. A Personal Non-commercial license does not cover commercial advertising, brand promotion, business activities, paid services, client deliverables, or other uses intended to obtain commercial benefits. An activity that does not charge directly is not necessarily non-commercial; corporate publicity or projects commissioned by clients still require checking the commercial license. 3. If you need to switch to commercial use, obtain the corresponding license before starting that use. Personal Non-commercial orders and their transaction records may serve as evidence of purchase and licensing; the transaction certificate function provided by the Platform for commercial orders does not mean that Personal Non-commercial orders also receive equivalent commercial certificates.

Article 4 Commercial—1 Year and Commercial—Perpetual Licenses

1. Commercial—1 Year license: use within the commercial scope agreed at purchase for a term of 1 year, or 365 days. The start and expiry times are governed by the express agreement at purchase and the order records; the term normally begins when payment succeeds. If delivery is not made as agreed for reasons attributable to the seller or the Platform, the fact that the term has already begun must not be used to reduce the services or remedies to which you are legally entitled. 2. Commercial—Perpetual license: continued use within the licensee, purpose, and scope of rights agreed at purchase. It does not automatically expire because membership expires, a product is delisted, license tiers change, or an account is deleted. “Perpetual” describes the license term; it does not mean a transfer of copyright, exclusive use, unrestricted sublicensing, or permanent online file hosting. Where the law otherwise provides for the relevant rights, those provisions apply. 3. A commercial license may be used for lawful commercial projects within the scope agreed in the order. Client projects, public distribution, printing, online display, incorporation into products, and other specific uses must conform to the purchased product and license scope; a commercial tier name alone does not mean that all uses, all licensees, and unlimited quantities are licensed. 4. Any industry, territory, quantity, platform, project, or licensee restrictions on a use stated on the purchase page must be clear, specific, and confirmed. Restrictions not expressly agreed cannot be unilaterally added after the transaction; ambiguous terms are interpreted in accordance with the law. 5. Personnel within an organization who genuinely need to participate in a licensed project may use the relevant files as required for their work within the license scope, with appropriate access controls; this does not give each person independent rights to use the assets externally or distribute them. Whether external collaborators may access source files depends on the rights expressly granted at purchase; participating in a project does not automatically grant a source-file license. 6. After the term expires, you must not undertake new uses under the expired license. Whether finished products completed during the valid term may continue to be displayed, retained, or distributed is determined by the express terms agreed at purchase and applicable law. If the seller restricts such subsequent use, it must prominently disclose this before the order is placed; later terms must not add obligations to destroy finished products, repurchase, or fulfill other obligations not previously agreed. To extend the license, you may separately purchase a plan available at that time.

Article 5 Limits on Use and Third-party Rights

1. Without permission from the relevant rights holder, you must not sell, resell, rent, share, upload to resource libraries, or otherwise make the purchased asset source files or substantially identical asset packages available again as assets for download by unspecified third parties; minor modifications or repackaging must not be used to evade this restriction. 2. You must not sublicense beyond the purchased scope, falsely claim to be the original rights holder, remove attribution or rights notices that must legally be retained, or use assets for unlawful or infringing content or content that violates others' lawful rights and interests. Necessary editing, format adjustments, and lawful delivery of finished products permitted by the specific license must not be categorically characterized as “infringement through secondary modification.” 3. Where client delivery is covered by the license, final results must be delivered as agreed; without permission, asset source files that can be independently extracted and reused must not be transferred with them. If the product's normal agreed use itself requires delivery of editable files, the permitted delivery scope must be clear before purchase; this Article cannot be used after the transaction to deny an expressly promised use. 4. For third-party content such as fonts, photographs, music, likenesses, trademarks, scenes, and data, the seller must explain the rights actually included, the sources, and any portions for which you must obtain separate permission. The seller must honor licenses it states are included and has the right to provide; it must not wait until after-sales handling to pass undisclosed core licensing gaps on to you. 5. Products identified as AI-generated or AI-assisted must be truthfully labeled as required and disclose restrictions relevant to the purchase. Such labeling does not mean that all content is free of third-party rights, nor does it remove the seller's duties of truthful description, lawful licensing, and after-sales service. Liability for inaccurate asset content is still assessed according to the product's commitments and actual intended use. The presence of AI content in an asset does not mean that the Platform has provided you with an AI generation service.

Article 6 Delivery, Downloads, and Technical Requirements

1. The seller and the Platform provide digital file downloads through orders or relevant website functions as agreed at purchase. Delivered files must match the product description and work normally in the agreed environment; any delayed delivery arrangement must be clear before payment. 2. The following periods are assessed separately: the asset license term determines when lawful use is permitted; the download entitlement period determines when files may be obtained again through the Platform; the validity of a temporary download link affects only that link; and the membership term determines the period of membership services and discounts. These four periods cannot substitute for one another. 3. Any time limits, download-count limits, or other important transaction conditions for repeat downloads must be prominently disclosed before purchase and implemented according to the order terms. Restrictions not disclosed in advance cannot be unilaterally added after the transaction. “Commercial—Perpetual” does not automatically promise permanent online hosting, but this cannot be used to deny promised download services; outstanding delivery obligations must be handled in accordance with the law when download services are suspended or terminated. 4. If a temporary link expires while the download entitlement remains valid, you may obtain a new link through the relevant Platform function; contact customer service for assistance if the function fails. Please properly back up delivered files within your lawful license scope. Your failure to back up does not exempt the seller or the Platform from liability for their own breach of delivery obligations. 5. Before use, check the disclosed requirements for software versions, plugins, fonts, and equipment. Undisclosed dependencies must not be used as grounds for refusing after-sales service; products promised to be editable, compatible with particular software, or to include particular functions must meet those commitments. Products that provide only templates or reference materials must not be advertised as guaranteeing particular examination, business, or professional outcomes.

Article 7 Order Records and Transaction Certificates

1. Please retain your order, payment records, and the product description and licensing information shown at purchase. For commercial orders with a transaction certificate function, you may obtain the corresponding certificate through the available functions; a certificate records the transaction and licensing facts and is not an administrative permit, copyright registration certificate, or guarantee that the rights are entirely free of defects. 2. The original order and valid terms confirmed at purchase are important bases for verifying a license. Later changes to administrative license tiers, product information, or certificate templates must not shorten the license terms of existing orders or expand their restrictions. If a system page or newly generated certificate differs from the terms agreed at purchase, you may request verification and correction; a technical display error does not automatically change existing rights. 3. Order, download, and related records must be verified in accordance with the law together with other evidence; a single system record does not exclude your objections. The seller and the Platform retain necessary records and assist in resolving problems as required by law; personal information is handled under the Privacy Policy. 4. Invoices are issued in accordance with the law by the actual selling or service-providing entity: merchant assets are invoiced by the selling merchant, while the Platform's directly sold products and its own services, such as memberships, are invoiced by the relevant operating entity. There is no minimum invoicing amount and no additional invoicing fee or tax surcharge; order records, transaction certificates, or licensing statements cannot replace invoices. You may submit truthful and necessary invoicing information through the invoicing or after-sales options actually available in your order or through customer service. Once the information is complete and meets the requirements, the invoice must be issued and delivered within 7 working days; any legal requirement or valid commitment at purchase requiring earlier handling takes precedence. Your failure to click an application button does not exempt the operator from statutory obligations that have already arisen. If information is missing, reasonably identifiable necessary additions must be explained together within 2 working days; any objective obstacle must be promptly explained, with the reason and estimated processing time, and must not lead to an indefinite delay. Invoice amounts and items must reflect the actual transaction and tax rules and be corrected as required by law in cases such as refunds; invoices must not be understated by using the merchant's net proceeds after deduction of Platform service fees. If handling is overdue or the option is unavailable, you may request Platform assistance through an on-site support ticket, 3521773536@qq.com, or 13716058991; the Platform will verify the relevant materials and hear both parties' explanations. Failure to issue an invoice on time does not in itself trigger an automatic refund and does not affect your right under the law to request invoicing or correction or pursue other remedies for which the conditions are met.

Article 8 Application of Seven-day No-reason Returns

1. Digital assets are not categorically excluded from seven-day no-reason returns merely because of their name. The corresponding statutory rules apply to digital goods that lawfully fall within Article 25 of the Law of the People's Republic of China on the Protection of Consumer Rights and Interests, such as audiovisual products and computer software downloaded online or unsealed by the consumer, and to other goods lawfully deemed unsuitable for return because of their nature and confirmed as such by the consumer at purchase. The specific assessment must still consider the product's nature, delivery circumstances, and statutory conditions. 2. For products lawfully excluded from no-reason returns, the operator must prominently label the exception at purchase and prompt you to actively confirm it; confirmation must not be preselected. Where your confirmation is required but has not been obtained, general explanations in this Agreement, payment alone, or registration records must not replace confirmation or be used to refuse a no-reason return. Where the statutory conditions for an exception are not met, no-reason return rules apply in accordance with the law. 3. Your confirmation concerns only the exception to no-reason returns that meets the statutory conditions and does not mean that you waive your rights to after-sales service, refunds, contract termination, or compensation for issues such as quality defects, discrepancies from the description, defects in rights, or inability to deliver. 4. Applications for no-reason returns, refunds, and both parties' obligations are handled according to the law and valid agreements; returns must not be abused to continue retaining or distributing unlicensed assets. Related verification must be reasonable and must not hinder legitimate rights protection through impossible proof requirements.

Article 9 Nonconformity, Infringement, and Refund Handling

1. If files are damaged and cannot be used as agreed, substantive content differs from the description, promised files are missing, the license tier is incorrect, the seller lacks licensing authority, infringement occurs, delivery cannot be made as agreed, or another breach occurs, you may legally request supplementary delivery, replacement, correction, contract termination, a refund, or compensation. The appropriate measure depends on the nature of the problem, the law, and valid agreements; it cannot be refused outright on grounds such as “already downloaded” or “no returns or exchanges for digital products.” 2. You may submit your order number, a description of the problem, and necessary evidence through the order's after-sales option or customer service. The operating period of an on-page application option is not the same as the period for after-sales service or statutory claims; if the option reports that the period has expired or is unavailable, you may still contact customer service for handling in accordance with the law. If a record concerning the same matter is already being processed, you may supplement the existing record to avoid duplicate materials. 3. The Platform verifies the matter in accordance with the law, contacts the seller to handle it, and explains the outcome and its basis to you; you are not forced to negotiate with the merchant alone. Verification materials must be limited to those that are relevant and reasonably necessary. For infringement matters, necessary measures such as suspending the relevant content or downloads may be taken under the complaint procedure, and related orders handled in accordance with the law; suspension itself does not remove refund or compensation obligations that have already arisen. 4. Where a refund is required following lawful handling, the amount, method, and processing progress must be explained. Refunds are normally checked against the original payment and order records; immediate receipt cannot be promised without payment-channel confirmation, and manual processing or channel problems must not justify indefinite delay. Without your consent or a legal basis, points or vouchers must not replace a cash refund due to you. 5. Once the corresponding transaction has been lawfully terminated, refunded, and its license ended, you must stop using that portion of the license, delete asset copies you are no longer entitled to retain, and cease further distribution or resale. The minimum materials genuinely necessary for complaints, litigation, financial compliance, or similar purposes may be retained lawfully with restricted use. Whether a partial refund or other settlement affects the remaining license must be expressly agreed; all purchased benefits must not be cancelled indiscriminately. 6. If you disagree with the outcome, you may request an explanation, provide additional evidence, and apply for review; your legal rights to complain to relevant authorities, request mediation, or bring proceedings are unaffected. The Platform's internal procedure is not a mandatory prerequisite to exercising statutory rights.

Article 10 Breach, License Termination, and Liability

1. The parties to the sale and license must fulfill their obligations under valid agreements. Anyone who exceeds the license scope must stop the relevant conduct and bear liability in accordance with the law; a seller unable to provide the promised lawful license or content must also bear the corresponding liability. Liability is determined by the facts, fault, causation, actual loss, and the law, and cannot be conclusively determined by one party alone. 2. Measures taken for breach, such as restricting downloads, suspending services, or terminating a license, must have a basis in law or a valid contract, be proportionate to the seriousness of the issue, and communicate the main facts, reasons, and remedies; necessary measures may first be taken lawfully in urgent infringement or security situations. For correctable problems, an appropriate opportunity to remedy them must be provided as required by law; a minor dispute must not automatically invalidate all perpetual licenses. 3. An account restriction, product delisting, or complaint does not automatically justify confiscating payments already made, cancelling licenses for unrelated orders, or exempting the operator from liability. Exemptions from liability do not apply to harm caused by intentional misconduct, gross negligence, or other circumstances in which the law prohibits exemption. 4. Inability to perform due to force majeure is handled under the law based on its actual impact, with prompt notice and reasonable measures to mitigate losses. Ordinary faults, third-party content, or copyright disclaimers do not justify exempting the operator from all liability.

Article 11 Rule Changes and Existing Transactions

1. When new rules are made or this Agreement and related Platform rules are updated after this version is published, public comments will be sought and advance notice given as required by law: generally at least 7 days in advance, and at least 15 days in advance for statutory circumstances such as those involving important rights and interests, with a reasonable transition period where necessary. Changes requiring confirmation by law will be separately brought to your attention; default options or merely continuing to browse will not be treated as consent. 2. The license tier, term, price, file delivery, and other commitments for your established orders will be honored under the valid terms agreed at purchase. Publication of a new version of this Agreement does not automatically replace the terms of older orders, and new restrictions cannot be applied retrospectively to characterize previously lawful use as a violation. Where mandatory legal provisions apply, or both parties lawfully agree to a change, the corresponding basis governs. 3. The current version and initial publication date of this Agreement appear at the top of this page; subsequent revisions and historical versions are published as required by law. The Platform provides access to view and download historical versions in accordance with the law; the version retained in an order and related records may be used for verification. Missing records do not automatically deprive you of the right to establish your rights through other lawful evidence.

Article 12 Contact, Governing Law, and Dispute Resolution

1. Platform operator: Yunshui Guanjia (Beijing) Consulting Co., Ltd. (云税管家(北京)顾问咨询有限公司); website: zipget.cn; contact address: Room 335-1, 3rd Floor, No. 113 Gucheng West Road, Shijingshan District, Beijing; customer service: 13716058991; email: 3521773536@qq.com. Filing and license identifiers: 京ICP备2026001585号-1 and 京B2-20262610. 2. This Agreement is governed by the laws of mainland China. Disputes may be resolved through negotiation, mediation by a consumer organization, complaints or reports to relevant administrative authorities, or proceedings before a people's court with jurisdiction; arbitration requires a legally established, valid arbitration agreement. The Platform must not use its internal handling conclusions to exclude these avenues. 3. Mandatory legal provisions take precedence; specific terms separately negotiated in accordance with the law prevail over standard terms; ambiguous standard terms are interpreted in accordance with the law. The Platform and seller may explain this Agreement, but have no “final right of interpretation” that excludes your lawful rights.
